Allgemeine Verkaufs- und Lieferbedingungen
- Matthias Kremser Schokoladensysteme (Kurz MKS) dient zur Beratung, Vertrieb und Serviceorganisation für Maschinen und Geräte für die Schokoladenherstellung und -Verarbeitung
- Hauptaufgabe ist die Akquisition und Kundenpflege. Des Weiteren hilft MKS bei Servicefällen während und nach der Garantiezeit des Herstellers
- MKS ist der verlängerte Arm des Herstellers für den deutschen Markt (teilweise auch für den europäischen Markt) und handelt im Allgemeinen als Vertreter mit sämtlichen Rechten und Pflichten
- Der Auftrag kann entweder direkt durch den Lieferanten erfolgen oder als verlängerter Arm durch MKS.
- MKS ist verantwortlich, die Zahlungen gemäß Zahlungsbedingungen einzutreiben. Es besteht auch ein Eigentumsvorbehalt (des Herstellers) bis zur endgültigen Bezahlung durch den Kunden oder MKS
- Alle Geschäftsbedingungen der Gegenseite werden abgelehnt, denen nicht ausdrücklich zugestimmt wird.
- Technisch verantwortlich für die Maschine, die CE-Zertifizierung und Einhaltung aller Vorschriften und Gesetze obliegen dem Hersteller. Es besteht Haftungsausschluss Durch MKS.
- Eine Sachmängelhaftung ist ausgeschlossen. Verantwortlich für Sachmängel ist lediglich der Hersteller. Dieser ist auf dem Papier und an den Maschinen angegeben. Das Typenschild ist vom Hersteller anzubringen.
- Die CE-Zertifizierung erfolgt durch den Hersteller. Bei Mängeln haftet der Hersteller. Ein Haftung durch MKS wird ausgeschlossen.
- Garantiemäßig gelten die Bedingungen der jeweiligen Hersteller. Sollten Lieferungen unterschiedlicher Hersteller stattfinden, gelten auch die unterschiedlichen Bedingungen der Hersteller je nach Maschine
- Bei Garantiefällen übernimmt der Hersteller die Garantie gemäß deren Bedingungen. MKS kann helfen, übernimmt aber keine Kosten für etwaige Dienstleistungen beim Kunden, um z.B. Teile zu tauschen etc.
- Etwaige Folgeschäden sind explizit ausgeschlossen.
- MKS hilft bei technischen Problemen, diese zu lösen, hier insbesondere durch die Kommunikation zwischen Kunde, MKS und Hersteller
- Sachmängel etc. sind direkt an den Hersteller zu richten, da es in deren Verantwortungsbereich liegt
- Der Haftungsausschluss findet keine Anwendung auf Schadensersatzansprüche – gleich aus welchem Rechtsgrund –, wenn MKS vorsätzlich oder arglistig handelt
- Sollte durch Gerichte ein Urteil gegen MKS erwirkt werden, deren maßgebliche Verantwortung und Haftung bei dem Hersteller liegt, wird dieses Urteil automatisch Bestandteil bei einer Regelung mit dem Hersteller. Der Hersteller hat sich dem Urteil unterzuordnen.
- Sollten einzelne Bestimmungen dieses Vertrages ganz oder teilweise unwirksam oder undurchführbar sein oder werden, so lässt dies die Wirksamkeit der übrigen Bestimmungen dieses Vertrages unberührt. Dies gilt auch in dem Fall, dass sich der Vertrag als lückenhaft herausstellen sollte
- Gerichtsstand ist Celle, Deutschland. Es gilt deutsches Recht
Terms & Conditions
- Matthias Kremser Schokoladensysteme (MKS for short) provides consulting, sales, and service organization for machines and equipment for chocolate production and processing.
- Its main task is acquisition and customer care. Furthermore, MKS assists with service cases during and after the manufacturer's warranty period.
- MKS is the manufacturer's extended arm for the German market (and in some cases also for the European market) and generally acts as a representative with all rights and obligations.
- The order can be placed either directly through the supplier or through MKS as an extended arm.
- MKS is responsible for collecting payments in accordance with the terms of payment. There is also a retention of title (by the manufacturer) until final payment has been made by the customer or MKS.
- All terms and conditions of the other party that are not expressly agreed to are rejected.
- The manufacturer is technically responsible for the machine, CE certification, and compliance with all regulations and laws. MKS accepts no liability.
- Liability for material defects is excluded. The manufacturer is solely responsible for material defects. This is stated on the paper and on the machines. The type plate must be affixed by the manufacturer.
- CE certification is carried out by the manufacturer. The manufacturer is liable for defects. MKS accepts no liability.
- The warranty conditions of the respective manufacturers apply. If deliveries are made by different manufacturers, the different conditions of the manufacturers also apply depending on the machine.
- In warranty cases, the manufacturer assumes the warranty in accordance with their conditions. MKS can help, but does not assume any costs for any services provided to the customer, e.g., to replace parts, etc.
- Any consequential damages are explicitly excluded.
- MKS will help to resolve any technical problems, in particular by facilitating communication between the customer, MKS, and the manufacturer.
- Material defects, etc., must be addressed directly to the manufacturer, as this is their area of responsibility.
- The exclusion of liability does not apply to claims for damages – regardless of the legal basis – if MKS acts intentionally or fraudulently.
- If a court ruling is obtained against MKS, whose primary responsibility and liability lies with the manufacturer, this ruling automatically becomes part of a settlement with the manufacturer. The manufacturer must comply with the ruling.
- Should individual provisions of this contract be or become wholly or partially invalid or unenforceable, this shall not affect the validity of the remaining provisions of this contract. This also applies in the event that the contract should prove to be incomplete.
- The place of jurisdiction is Celle, Germany. German law applies.
